Official Contest Terms

The Event is organized solely by Mini Labs Corp., a corporation organized under the laws of the Republic of Panama ("Mini Labs," "we," "us," or "our"). By submitting an Entry, you (the "Creator" or "you") agree to these Terms and the Privacy Notice in Section 14. No purchase or payment is necessary to enter. This is a skill-based event; chance is not the basis for selection.

(a) The Event is organized and administered solely by Mini Labs and is not sponsored, endorsed, administered by, or associated with X, LINE, or LY Corporation. IPX and LINE FRIENDS are not organizers or administrators of the Event. The minicoin elements are used by Mini Labs under license from IPX, and IPX may provide separately agreed promotional support, including coupon support or reposting selected campaign posts published by Mini Labs.

(b) Invited or compensated creators may be subject to separate written terms. If those separate terms conflict with these Terms, the separate terms control for that creator. Posting obligations or compensation arrangements for invited creators do not change the community judging criteria unless the official campaign page expressly states otherwise.

You must be a natural person who is at least 18 years old or the age of majority in your jurisdiction, whichever is higher, and have legal capacity to agree to these Terms. You must not be subject to sanctions, export restrictions, or other legal prohibitions that prevent participation or receipt of a reward. The Event is void where prohibited.

(a) Residents of Mainland China are not eligible unless Mini Labs expressly confirms otherwise in writing after completing the applicable legal review. Mini Labs may also designate other restricted jurisdictions on the official campaign page or submission form.

(b) Employees, officers, and directors of Mini Labs or IPX who are directly involved in administering or judging the Event, and their immediate family or household members, are not eligible for community rewards.

(c) Mini Labs may require proof of age, identity, residence, eligibility, wallet ownership, and compliance with KYC, anti-money-laundering, sanctions, tax, and other legal requirements before confirming selection or distributing a reward.

The opening date, closing date, time zone, submission method, and any technical specifications are stated on the official campaign page and submission form (the "Event Period"). Mini Labs’ records and systems determine whether an Entry was timely received.

(a) To enter, create a digital sticker concept using only the Campaign Materials permitted under Section 4 and your Original Contribution, publish the required X post tagging @mini_cto and using the designated campaign hashtag, and submit the post link and entry file through the official form before the deadline. Posting on X alone is not a completed Entry.

(b) You may submit up to three genuinely distinct Entries. Duplicate or substantially similar Entries, repeated posting of the same or substantially similar content, or use of multiple accounts to increase the chance of selection are prohibited and may result in disqualification of all related Entries. No Creator may have more than one Entry selected for a community reward.

(c) Your X post and submitted links must remain accessible long enough for verification. You are responsible for retaining copies, screenshots, source files, and other evidence of your submission and creation process.

"Campaign Materials" means only the minicoin elements, character files, templates, reference images, prompts, instructions, and other materials that Mini Labs expressly provides or authorizes through the official campaign channels for use in the Event. To the extent Mini Labs is authorized to do so, Mini Labs grants eligible Creators a limited, non-exclusive, non-transferable, non-sublicensable, revocable permission to use the Campaign Materials solely to create, post, and submit an Entry during the Event Period.

(a) Except for this limited permission, no rights are granted to you in minicoin, the Campaign Materials, Mini Labs’ or IPX’s names or marks, or any character, artwork, or other underlying third-party material embodied in or associated with the Campaign Materials (collectively, "Underlying Materials"). All such rights remain with their respective rights holders.

(b) Do not use unofficial versions, screenshots, film clips, audio, dialogue, logos, other characters, or other third-party materials in an Entry unless Mini Labs expressly provides them as Campaign Materials or you independently have all required rights and permissions.

(c) Your permission to use Campaign Materials ends when the Event ends or earlier if Mini Labs withdraws the materials, except that your submitted X post may remain online subject to these Terms and any takedown request.

The original composition, artwork, text, animation, expressions, captions, and other elements that you independently add to an Entry are your "Original Contribution." Your Entry must comply with these Terms, the instructions on the official campaign page, and the rules and technical requirements of X and any intended distribution platform.

(a) Your Original Contribution and any material you independently introduce must be created by you or lawfully used with all necessary permissions. Do not include third-party characters, logos, copyrighted images, music, voices, likenesses, private information, or other protected material without authorization.

(b) Entries must not be unlawful, defamatory, deceptive, hateful, harassing, discriminatory, sexually explicit, graphically violent, dangerous, or otherwise inappropriate; encourage unlawful conduct; infringe privacy or publicity rights; or falsely imply sponsorship, partnership, approval, or endorsement by Mini Labs, IPX, LINE FRIENDS, X, LINE, or any other person.

(c) To support intended sticker-platform review, do not place token prices, investment or trading claims, exchange-listing claims, TGE dates, purchase calls, website addresses, unnecessary corporate logos, or other advertising or promotional content in the sticker artwork, title, or description unless Mini Labs expressly instructs otherwise for an approved distribution channel.

(d) If you use AI or other generative tools, you must identify the tool and version, disclose material prompts and source inputs if requested, retain working files, comply with the tool’s commercial-use terms, and ensure that you do not input or reproduce unauthorized third-party content beyond the Campaign Materials. You grant rights only to the extent such rights legally exist and are owned or controlled by you.

(e) If you receive or expect money, tokens, products, services, exposure, or anything else of value in connection with a public campaign post, you must clearly and conspicuously disclose that material relationship in each relevant post, using plain language appropriate for the audience and platform.

Mini Labs may select up to 15 eligible Entries, or a smaller number or none, based on: (i) originality and creativity; (ii) usefulness in everyday messaging; (iii) visual quality and clarity; (iv) fit with the Campaign Materials and the intended final sticker pack; and (v) compliance with these Terms and the submission requirements. Mini Labs may use internal reviewers or qualified external reviewers and may resolve ties in its reasonable discretion.

(a) Followers, views, likes, reposts, PFP changes, username changes, trading activity, token holdings, or token price are not judging criteria unless the official campaign page expressly states otherwise for a separate invited-creator category.

(b) Selection is provisional until Mini Labs verifies eligibility, obtains any requested information or agreements, and the selected Creator accepts the reward conditions within the time stated in the notice. Failure to respond or complete verification may result in replacement or cancellation of the selection.

(c) Selection does not guarantee that an Entry will be used in its submitted form, included in a final sticker pack, accepted by a platform, released in any jurisdiction, or remain available for any minimum period.

The rights granted under this Section apply only to rights that you actually own or control and do not transfer or create rights in the Campaign Materials or Underlying Materials.

(a) Submission license. By submitting an Entry, you grant Mini Labs a non-exclusive, worldwide, royalty-free, transferable, and sublicensable license to review, verify, store, reproduce, display, translate, crop, format, repost, and otherwise use the Entry and your submitted name or social-media handle for administering, documenting, and promoting the Event and announcing selections.

(b) Selected Original Contributions. If your Entry is selected and you accept the applicable reward terms, you irrevocably assign to Mini Labs all right, title, and interest that you own or control in your Original Contribution, to the extent such rights exist and may legally be assigned. To the extent any such right cannot be assigned, you grant Mini Labs an exclusive, perpetual, irrevocable, worldwide, transferable, sublicensable, fully paid, and royalty-free license to exercise that right for any purpose connected with the Event, Minicoin, the final sticker pack, and related promotion and distribution.

(c) Moral rights. To the maximum extent permitted by law, you waive and agree not to assert moral rights or similar rights in a selected Original Contribution. Where waiver is not permitted, you consent to the uses, modifications, and lack of attribution described in these Terms.

(d) Permitted users. Mini Labs may exercise or sublicense the rights above through its affiliates, contractors, service providers, IPX, and the relevant platform and distribution entities, solely as needed to administer, develop, promote, distribute, maintain, or remove the Event materials and final sticker pack.

(e) No credit requirement. Mini Labs may identify you by your submitted name or handle but is not required to provide attribution unless mandatory law requires it.

Mini Labs may use a selected Entry as submitted or may edit, redraw, adapt, translate, animate, crop, combine, standardize, recreate, or otherwise develop it so that the final sticker pack forms one consistent set. Mini Labs is not required to use any Entry in its original form and may use an Entry only as inspiration for a newly produced version.

(a) Any rights in the Campaign Materials, minicoin elements, and Underlying Materials remain with their respective rights holders. Any rights in newly created editing or redrawing are held and used subject to those underlying rights and the applicable IPX license. Nothing in these Terms represents that Mini Labs or a Creator owns the complete character or all rights embodied in a final design.

(b) Mini Labs controls the final naming, packaging, technical formatting, platform accounts, communications, and distribution channels for the sticker pack. The pack may be submitted through Mini Labs-managed accounts on LINE, WeChat, or other selected platforms, subject to rights review, platform review, technical requirements, and regional availability.

(c) IPX approval is not a condition to Mini Labs’ launch or distribution, but Mini Labs may share materials with IPX in advance for coordination and quality support. IPX may repost selected Mini Labs campaign posts in its discretion.

Rewards, the maximum number of selected Creators, the amount or method of calculating any $MINI reward, the vesting schedule, and the expected distribution timing are described on the official campaign page, submission form, selection notice, or any separate invited-creator agreement. All rewards are subject to availability and these Terms. For community rewards, the fixed $MINI amount or calculation method, vesting schedule, and expected distribution timing will be published before the submission deadline.

(a) Any $MINI reward is a one-time creator reward. It is not a royalty, revenue share, salary, equity interest, ownership interest, or continuing financial right arising from the Entry, the final sticker pack, platform revenue, or any later use.

(b) A $MINI reward is subject to TGE and token-distribution conditions, vesting, wallet compatibility, KYC and sanctions screening, legal and regional restrictions, and technical availability. Mini Labs does not guarantee that $MINI will have any particular value, be liquid, be listed on any exchange, or be transferable at any particular time.

(c) The right to receive a reward may not be sold, assigned, or transferred before distribution. You are responsible for all taxes, reporting, fees, and legal obligations arising from a reward. Mini Labs may require tax forms or other documentation.

(d) If a reward cannot lawfully or technically be distributed, Mini Labs may, where permitted, substitute a reward of comparable value, delay distribution, or cancel the affected reward. Separate written terms control compensation owed to an invited or paid creator for completed services.

(e) Coupon codes, Discord roles, and other non-token benefits are subject to availability, expiration dates, shipping limits, platform rules, and any separate provider terms. A Discord role is honorary and creates no governance, employment, agency, or economic rights.

You represent and warrant that: (i) you satisfy the eligibility requirements; (ii) your information is complete and accurate; (iii) your Original Contribution is created by you, or you lawfully control the rights you purport to grant; (iv) materials you independently introduce do not infringe or violate any intellectual-property, privacy, publicity, contractual, or other right; (v) your Entry complies with these Terms and applicable law; and (vi) you have not used bots, multiple accounts, plagiarism, false engagement, or other deceptive means.

(a) Your warranties do not extend to Campaign Materials expressly provided or authorized by Mini Labs. You are not responsible merely because your Entry uses those Campaign Materials as permitted by Section 4, but you remain responsible for any unauthorized materials or modifications you independently introduce.

Mini Labs may immediately pause, block, remove, replace, or discontinue any Entry, campaign post, sticker, sticker pack, or related material if an actual or potential third-party rights claim, platform request, legal concern, or reputational concern arises. Selection does not guarantee continued publication or availability.

(a) If a claim or inquiry relates to your Original Contribution or any material you independently introduced, you must reasonably cooperate with Mini Labs and IPX, including by providing source files, prompts, creation records, licenses, consents, and other relevant information.

(b) A pause or takedown caused solely by Campaign Materials provided by Mini Labs will not, by itself, permit Mini Labs to recover a reward already distributed to you. Mini Labs may withhold or recover a reward if the issue results from your breach, ineligibility, fraud, misrepresentation, or independently introduced material.

Mini Labs may reject or remove an Entry, disqualify a Creator, cancel or revise a selection, or withhold, revoke, or recover a reward where reasonably necessary because of ineligibility, breach of these Terms, plagiarism, duplicate or multi-account entry, failure to complete verification, fraud, misrepresentation, unlawful conduct, sanctions or compliance concerns, or a platform or legal requirement.

(a) Mini Labs may suspend, modify, shorten, extend, or cancel the Event where rights, legal, security, technical, platform, fraud, or other circumstances outside Mini Labs’ reasonable control materially affect the Event. Material changes will be posted through the official campaign channels.

To the maximum extent permitted by applicable law, you will indemnify and hold harmless Mini Labs, its affiliates, IPX, and each of their officers, directors, employees, contractors, and agents from third-party claims, losses, liabilities, damages, and reasonable costs (including reasonable legal fees) arising from: (i) your breach of these Terms or your warranties; (ii) material you independently introduce into an Entry; or (iii) your fraud or willful misconduct. This indemnity does not apply to a claim arising solely from Campaign Materials expressly provided or authorized by Mini Labs.

Mini Labs may collect and process your name, age confirmation, contact details, country or region, social-media handle and post link, Entry and creation records, wallet information, KYC or sanctions-screening information, tax information, and communications for the purposes of administering the Event, verifying eligibility and rights, judging Entries, contacting selected Creators, distributing rewards, promoting the Event, preventing fraud, responding to rights claims, and complying with law.

(a) Mini Labs may share relevant information with its affiliates, service providers, reviewers, compliance and payment providers, IPX, platform operators, professional advisers, regulators, and rights holders where reasonably necessary for those purposes. Information may be processed in countries other than your country of residence and retained for as long as reasonably necessary for the Event, legal compliance, dispute handling, and recordkeeping.

(b) Mini Labs will not use your information for unrelated direct marketing without any separate consent required by applicable law. Privacy questions or requests may be submitted through the contact method stated on the official campaign page or submission form, subject to identity verification and applicable legal exceptions.

You permit Mini Labs to identify you by your submitted name or social-media handle and to display your Entry as allowed by Section 7. Nothing in the Event creates employment, partnership, joint venture, fiduciary, representative, or agency relationships. Selection or use of an Entry is not an endorsement of you or your Entry by Mini Labs, IPX, LINE FRIENDS, X, LINE, or any platform.

To the maximum extent permitted by law, the Event, Campaign Materials, platform access, review process, token-distribution process, and any reward are provided "as is" and "as available." Mini Labs does not guarantee uninterrupted operation, receipt of an Entry, platform acceptance, publication, continued availability, token launch, token value, liquidity, exchange listing, or any commercial result or exposure.

(a) To the maximum extent permitted by law, Mini Labs, IPX, and their affiliates will not be liable for indirect, incidental, special, consequential, punitive, or lost-profit damages arising from the Event. Their aggregate liability to you arising from the Event will not exceed the value of the reward actually awarded to you, except where a limitation is prohibited by mandatory law.

(b) Nothing in these Terms excludes liability that cannot lawfully be excluded, including liability for fraud or willful misconduct where applicable.

These Terms are governed by the laws of the Republic of Panama, without regard to conflict-of-laws rules. Except where mandatory law gives you another forum or right, the courts of Panama City, Panama have exclusive jurisdiction over disputes arising from the Event. Before filing a claim, the parties will first attempt in good faith to resolve the matter through written notice and discussion for at least 30 days.

If any provision is invalid or unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions will remain effective. A failure to enforce a provision is not a waiver. Mini Labs may assign these Terms or its rights in connection with a reorganization, transfer of the Event, or transfer of the relevant business or assets. You may not assign your rights or obligations except as expressly permitted. These Terms, the official campaign page, the submission form, and any applicable separate written creator agreement are the entire agreement concerning the Event.

(a) IPX is an intended third-party beneficiary of Sections 4, 7, 8, 10, 11, 13, 15, and 16 and may enforce those provisions to the extent they protect IPX or the minicoin IP.
